A clear framework for working together: services, pricing, payment, and each party’s responsibilities and rights.
Version in force as of 26 October 2026These general terms and conditions (“T&Cs”) govern all services provided by Factor Lead SA, a public limited company registered in the commercial register of the Canton of Geneva under business ID (UID) CHE-147.454.001, with its registered office at Chemin des Aulx 16, 1228 Plan-les-Ouates, Switzerland (“Factor Lead”), to its business customers — advertisers, agencies, online retailers and publishers (the “Customer”).
They apply exclusively to business-to-business relationships. Any conflicting terms of the Customer, in particular its own purchasing terms, are not binding on Factor Lead unless expressly accepted in writing.
Factor Lead’s offers and quotes are valid for [30] days from issue. The contract is concluded when the Customer signs a purchase order, an insertion order (“IO”) or a specific contract, or confirms the order in writing (including by email).
In the event of any conflict, the order of precedence is: the specific contract or the IO, then these T&Cs.
Depending on the order, Factor Lead provides digital advertising, mobile ad network, retargeting, database monetisation and related consulting services. The content, volume, duration and terms of each service are set out in the IO.
Factor Lead undertakes to perform the services with due care and in accordance with professional standards. Unless otherwise agreed in writing, this is a best-efforts obligation: no quantified result (lead volume, conversion rate, revenue, etc.) is guaranteed.
Factor Lead may use partners and subcontractors, for whom it remains responsible towards the Customer.
The Customer undertakes to:
The Customer shall indemnify and hold Factor Lead harmless against any third-party claims resulting from a breach of these obligations. Factor Lead may refuse or suspend the distribution of any content that is manifestly unlawful or contrary to the rules of its distribution partners.
Delivery and performance statistics (impressions, clicks, leads, conversions) produced by Factor Lead’s measurement tools are authoritative for invoicing purposes.
If the Customer finds a discrepancy of more than [10]% with its own tools, it must report it in writing within [15] days of receiving the report; the parties will then seek a solution in good faith. In the absence of a claim within this period, the statistics are deemed accepted.
Prices are stated in the IO in Swiss francs (CHF) or euros (EUR), excluding taxes. VAT and any other applicable taxes are invoiced in addition at the statutory rate in force.
Depending on the agreed model (flat fee, CPM, CPC, CPL, CPA or other), invoicing takes place [monthly / upon order / at the end of the campaign]. Factor Lead may require a deposit or prepayment, in particular for a first contract.
Invoices are payable 30 days net from their date of issue, without discount. Upon the due date, the Customer is in default without further notice and owes default interest of 5% per annum (art. 104 of the Swiss Code of Obligations, CO), as well as reasonable collection costs.
In the event of late payment, Factor Lead may, after simple written notice, suspend performance of all ongoing services until payment is made in full, without the Customer being entitled to any compensation.
Any change to a campaign (content, targeting, schedule, budget) must be requested in writing and takes effect only once confirmed by Factor Lead.
In the event of cancellation by the Customer:
The Customer retains all rights to its trademarks, creatives and data. It grants Factor Lead, for the term of the contract, a non-exclusive right to use them to the extent necessary to perform the services.
Factor Lead retains all rights to its tools, technologies, methods, software and know-how. Deliverables created specifically for the Customer are assigned to it upon payment in full, unless otherwise provided in the IO. Factor Lead may cite the Customer’s name and logo as a reference unless the Customer objects in writing.
Each party shall keep strictly confidential any non-public information of the other party that it learns in connection with the contract (commercial terms, data, strategies, results) and shall use it only for the purposes of the contract. This obligation survives for [2] years after the end of the contract.
The parties undertake to comply with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the European Union General Data Protection Regulation (GDPR).
Where Factor Lead processes personal data on behalf of the Customer, the parties shall enter into a data processing agreement specifying their respective roles, the security measures and, where applicable, the safeguards for international transfers.
Factor Lead is liable only for direct damage caused by a breach of its contractual obligations. Its total liability is limited, per incident and per year, to the amount excluding taxes actually paid by the Customer for the services concerned during the previous 12 months.
Any liability for indirect or consequential damage — in particular loss of profit, business, revenue, customers or data — is excluded. These limitations do not apply in cases of unlawful intent or gross negligence (art. 100 CO).
Factor Lead is not liable for interruptions or decisions attributable to third-party platforms, ad networks or other networks.
Neither party is liable for any failure caused by an event beyond its reasonable control (natural disaster, pandemic, war, decision of the authorities, major outage of third-party networks or platforms, cyberattack). If the impediment lasts more than [30] days, either party may terminate the order concerned in writing, without compensation.
The contract takes effect upon conclusion and remains in force until the end of the campaign or of the period set out in the IO. Open-ended contracts may be terminated by either party with [30] days’ written notice to the end of a month.
Either party may terminate the contract with immediate effect in the event of a serious breach by the other party that is not remedied within [15] days of a written formal notice, or in the event of the other party’s bankruptcy or insolvency.
Factor Lead may amend these T&Cs; the applicable version is the one in force on the date of the order. Any amendment to a contract must be made in writing (email is sufficient).
If any provision is held to be invalid or unenforceable, the remaining provisions remain in force; the provision concerned is replaced by a valid provision whose economic effect is as close as possible.
These T&Cs and any contract concluded with Factor Lead are governed exclusively by Swiss law, to the exclusion of its conflict-of-laws rules.
The exclusive place of jurisdiction is the registered office of Factor Lead SA in Plan-les-Ouates (Canton of Geneva, Switzerland). Factor Lead nevertheless reserves the right to bring proceedings at the Customer’s registered office.
